Frank has practiced law since 2006, focusing on representing entrepreneurs and privately held businesses in corporate and transactional matters, including mergers, acquisitions, entity structuring/reorganizations, corporate governance, and general business matters.
Frank represents a wide range of clients across various industries, including manufacturing, distribution, technology, e-commerce, consumer, hospitality, and professional services. He works with clients in all stages of growth, from start-ups to growing enterprises and mature businesses, including work with everyday contractual and commercial needs, employee and contractor agreements, service
agreements, licensing arrangements, and other commercial contracts and transactions essential to his clients’ operations.
Frank also provides estate planning services, ranging from a simple will to family limited partnerships and complex trust structures, depending on client goals.
Representative Matters include:
- Negotiated numerous partnership, shareholder, LLC, employee, and contractor agreements, as well as partner buyouts. Counsel on hundreds of M&A transactions, on both the buy side and sell side, with overall enterprise values typically between $3 million
and $30 million, ranging up to $100 million. Extensive experience as counsel for transactions financed by Small Business Administration (SBA), and e-commerce business acquisitions and sales.
- Lead counsel to partnership group, forming multiple LP/GP structures, for the acquisition, development, and operation of multiple RV Park real estate projects, each generally carrying an enterprise value of approximately $10 million.
- Lead counsel on acquisition of Texas-based commercial flooring company, financed through a combination of money raised from friends and family, as well as private equity, and a senior debt loan from a commercial lender, also requiring an F reorganization, with an enterprise value of $35 million.
- Lead counsel on the sale of a Texas-based lighting manufacturer and distributor company, including real estate, with an overall enterprise and real estate value of $27 Million.
- Lead counsel on the sale of a Texas-based engineering group, requiring an F reorganization and rollover equity, with an overall enterprise and real estate value of $3Million.
- Lead counsel on the sale of a Texas-based RV training academy, including the company and the real estate, with an overall enterprise value of $23 million.
- Lead counsel on the sale of a Missouri-based construction tool manufacturing and distribution company, with an overall enterprise and real estate value of $8 million.
- Counsel for the initial merger and then sale of a fitness chain in DFW, with an owner group of eight individuals, and 38 fitness center locations, with an enterprise value of $76 million.
- Counsel on the sale of a DFW-based residential fencing company with an enterprise valueof approximately $57 million. Counsel on the sale of a high-end, DFW-based clothing retailer with an enterprise value of approximately $23 million.
- Formed venture capital funds and represented clients on securities-related matters.
- Drafted numerous estate plans, Wills, Revocable and Irrevocable Trusts, family limited partnerships, with goals of asset protection and tax planning.
