Michael’s expertise and experience is both broad and deep in the areas corporate law, mergers & acquisitions, real estate, finance, equity and debt financing for emerging companies, partnership taxation, commercial transactions, and intellectual property. Michael’s comprehensive ability to navigate legal issues facing businesses of all sizes often results in Michael serving as general outside counsel after initially being engaged for a specific transaction or project.
Michael’s practice includes the formation and ongoing representation of corporations, limited liability companies, partnerships, joint ventures and other entities as well as the individual owners of such enterprises. He advises closely held business entities of all sizes on their growth and operational matters. Much of his practice is focused on mergers and acquisitions, debt and equity finance transactions, intellectual property matters, business divorce and general corporate law. Through the course of his career, Mike Navarro has been involved in structuring, negotiating, and documenting a wide variety of business transactions across a multitude of industries.
Armed with extensive experience in real estate transactions, Mr. Navarro represents clients in a multitude of real estate and real estate related transactions including buyers and sellers in the purchase and sale of commercial real estate, owners and developers in commercial real estate projects, and landlords and tenants in commercial leasing transactions. A significant portion of his real estate practice is focused on representing developers and real estate finance, including the representation of borrowers in balance sheet loan transactions, commercial mortgage-backed securities and other types of non-recourse financings. Michael’s real estate engagements include “dirt and sticks” transactions all the way up to the formation of real estate funds and private placements.
Michael’s practice is also heavily devoted to equity and debt transactions on behalf of emerging companies as well as representation of angel investors, private equity and venture capital on the investment side. Michael is often the go to legal referral for accelerators and incubators in all industries including technology and healthcare.
