Lauren Osterman has a broad business transactional practice, primarily in areas that affect clients in the automotive, public finance and affordable housing and finance industries.
Lauren represents motor vehicle dealers (automobile, motorcycle and heavy-truck dealers) on a variety of business and franchise matters across the United States. Her practice concentrates on dealership buy-sells, entity structure and ownership agreements, real estate acquisition, financing (including floor plan and blue sky financing), dealer succession planning, reinsurance structures and related matters.
Lauren represents lenders and developers in the financing, acquisition and development of commercial real estate. She has extensive experience drafting and negotiating loan facilities, reviewing site diligence and handling all closing activities. Lauren also represents developers and governmental entities in the acquisition, structuring, financing, development, construction and disposition of affordable housing developments involving a myriad of financing structures, including low-income housing tax credits, tax-exempt bonds, governmental (HOME and NHTF) and quasi-governmental (i.e., FHA-insured, Fannie Mae and Freddie Mac) loan programs, and a variety of other private and governmental funding sources. Additionally, Lauren regularly assists developers in implementing complex ownership structures with outside parties, including governmental entities, non-profit organizations, historically underutilized business (HUB) and community housing development organizations (CHDOs). Lauren regularly and versatilely handles all aspects and stages of an affordable housing development, from concept to disposition.
Lauren has years of experience in general corporate matters, including the planning, negotiating, documenting and closing of acquisitions, mergers, sales, refinancing and reorganizations for a variety of business clients.
